This translation is provided for information only. The Czech version of the Terms and Conditions is legally binding.
1. Introductory Provisions and Provider
1.1 These general terms and conditions (the “Terms”) govern the rights and obligations relating to the use of the AuthorityHub service available at authorityhub.app.
1.2 The service is operated by Brand Hub s.r.o., with its registered office at Lidická 700/19, 602 00 Brno, Company ID (IČO) 055 57 411, VAT ID CZ05557411, registered in the Commercial Register maintained by the Regional Court in Brno, Section C, File 96158 (the “Provider”).
1.3 Contact: info@brandhub.cz. For personal data matters: gdpr@brandhub.cz.
1.4 The Service is intended exclusively for businesses. The contractual relationship is governed in particular by Section 1751 et seq. and Section 2586 et seq. of Act No. 89/2012 Coll., the Civil Code (the “Civil Code”). The consumer protection provisions of the Civil Code shall not apply.
1.5 Any deviating provisions agreed in the contract shall take precedence over these Terms. The Customer’s own terms and conditions shall not apply.
2. Definitions
- Service – the AuthorityHub web application, which uses artificial intelligence to process the Customer’s materials into content outputs and enables them to be edited, stored and published.
- Customer – a business (a natural or legal person) that has entered into a contract with the Provider for the use of the Service.
- User – a natural person to whom the Customer has granted access to its Account. The Customer is responsible for the conduct of its Users.
- Account – the Customer’s space within the Service, including all brands, projects and data.
- Plan – the scope of the Service and its price according to the current price list at authorityhub.app/en/pricing (Creator, Business, Agency).
- Subscription – a recurring paid period of use of the Service, either monthly or annual.
- Quotas and Credits – the monthly limits of a Plan (e.g. AI images, AI videos, search volume lookups, tracked queries) and any additional packs purchased.
- Inputs – all content that the Customer enters into the Service (texts, links, documents, images, audio, video, brand information).
- Outputs – content created by the Service on the basis of the Inputs.
- Connected Service – a third-party social network or email tool that the Customer connects to the Service.
3. Registration and Conclusion of the Contract
3.1 The contract is formed upon completion of registration, during which the Customer confirms its acceptance of these Terms. The contract is concluded at the moment the Provider confirms the registration.
3.2 By registering, the Customer declares that it is acting in the course of its business and provides its identification details, including its Company ID (IČO). The person carrying out the registration declares that they are authorised to act on behalf of the Customer.
3.3 The Provider may refuse a registration or cancel an Account if the Customer has provided false information or is not a business. In such a case, the Customer is not entitled to a refund of any price already paid.
3.4 The Customer shall keep the information in its Account up to date and protect its login credentials. Any use of the Account with its login credentials shall be deemed use by the Customer.
3.5 Sections 1799 and 1800 of the Civil Code on contracts concluded by adhesion shall not apply.
3.6 The contract is concluded in the Czech language for an indefinite period. The contract is archived in electronic form by the Provider; the current version of the Terms is always available on the Service’s website.
4. Trial Version and Beta
4.1 The Provider may provide the Customer with a free trial version lasting 14 days. The trial version does not require a payment card and does not automatically convert into a paid Plan.
4.2 Once the trial period has ended, access to content creation and publishing is suspended until the Customer chooses a paid Plan. The Provider will retain data from the trial version for 30 days; after that, it may permanently delete it.
4.3 The Provider may limit the scope of the trial version (e.g. AI image and video quotas) and may provide it to each Customer only once.
4.4 For as long as the Service is labelled as beta, it is provided “as is”, without any guarantee of availability or functionality. Features, quotas and prices may change. Prices stated during the beta are indicative; the binding price is the price confirmed to the Customer when ordering a Plan.
5. Plans, Price and Payments
5.1 The scope of each Plan, its quotas and prices are set out in the current price list. All prices are stated exclusive of VAT; VAT is added in accordance with applicable regulations.
5.2 The Subscription is paid in advance for the entire billing period, monthly or annual, by payment card via the Paddle payment gateway. Payment card details are processed exclusively by the operator of the payment gateway; the Provider has no access to them.
5.3 Automatic renewal. At the end of each billing period, the Subscription automatically renews for a period of the same length and the price is charged to the stored card, unless the Customer cancels the Subscription before the end of the period. By placing the order, the Customer agrees to recurring payments.
5.4 The Provider issues tax documents electronically and makes them available in the Account or sends them by email.
5.5 Plan quotas renew at the beginning of each month and unused quotas do not carry over. Purchased credit packs are valid for 12 months from purchase and are non-refundable.
5.6 If a payment fails, the Provider will retry it and ask the Customer to update its payment details. If the price is not paid within 7 days of the due date, the Provider may suspend access to the Service until it is paid.
5.7 The Provider may change the prices of Plans. It will notify the Customer of any change by email at least 30 days in advance, and the new price will apply from the next billing period. If the Customer does not agree, it may cancel the Subscription with effect from the end of the current period.
6. Plan Changes, Cancellation and Termination of the Contract
6.1 The Customer may change its Plan at any time in the Account settings. An upgrade to a higher Plan takes effect immediately, subject to payment of the pro rata difference in price; a downgrade to a lower Plan takes effect from the next billing period.
6.2 When downgrading to a lower Plan, the Customer must reduce the number of brands and Users to the limit of the new Plan. If it fails to do so, the Provider may switch the excess brands to read-only mode.
6.3 The Customer may cancel the Subscription at any time in the Account. Cancellation takes effect at the end of the current billing period; until then, the Customer may continue to use the Service.
6.4 The price paid is non-refundable, including on a pro rata basis upon cancellation of an annual Subscription and for unused quotas or credits, unless these Terms provide otherwise or the matter concerns a defect of the Service attributable to the Provider.
6.5 The Provider may terminate the contract by giving 30 days’ notice. In such a case, it will refund to the Customer the pro rata portion of the prepaid price for the unused period.
6.6 The Provider may withdraw from the contract or suspend the Account with immediate effect if the Customer materially breaches the Terms, in particular Article 7, or is more than 30 days late with a payment. In such a case, the Customer is not entitled to a refund of the price.
6.7 After the contract ends (for whatever reason), the Provider will retain the Account data, i.e. Inputs, Outputs and settings, for a further 30 days so that the Customer can retrieve them; the Provider will then permanently delete them unless the law provides otherwise.
7. Rules for Using the Service
7.1 The Customer may use the Service only in accordance with the law, these Terms and the terms of the Connected Services. In particular, the Customer must not:
- enter Inputs for which it does not hold the necessary rights or which infringe the rights of third parties (copyright, trademarks, personality rights, trade secrets);
- use the Service to create or disseminate content that is unlawful, misleading, disinformation, hateful, pornographic or otherwise harmful, unsolicited commercial communications (spam) or content impersonating another person;
- enter special categories of personal data (e.g. health data) without a legal basis;
- circumvent quotas, share a single user login among multiple persons or resell the Service without the Provider’s written consent (this does not affect the management of client brands under the Agency Plan);
- interfere with the security and operation of the Service, reverse engineer it, download data by automated means or load the infrastructure beyond normal use;
- use the Service or the Outputs to develop a competing product or to train AI models.
7.2 The Provider may remove or block content that breaches this Article and suspend a User’s access. Unlimited text formats are subject to a fair use policy; in cases of obvious abuse, the Provider may reasonably limit their number.
8. Content, AI Outputs and Intellectual Property
8.1 Inputs remain the property of the Customer. The Customer grants the Provider a non-exclusive, royalty-free licence to the Inputs to the extent necessary to provide the Service (storage, processing, transfer to AI models and Connected Services) for the term of the contract and the periods set out in Article 6.7.
8.2 The Customer may use Outputs without restriction, including for commercial purposes. To the extent that any rights arise in the Outputs, the Provider assigns them to the Customer or, as the case may be, grants the Customer an exclusive licence to them, unlimited in time and territory. The Customer acknowledges that AI-generated content may not be protected by copyright and that similar outputs may also be generated for other users.
8.3 The Provider does not use the Customer’s Inputs or Outputs to train its own or third-party AI models.
8.4 Responsibility for content. AI may generate inaccurate, incomplete or misleading information. The Customer must review every Output before publication and is responsible for its content, accuracy and legal compliance, as well as for the Inputs. The Customer shall indemnify the Provider against any third-party claims arising from its Inputs or published Outputs.
8.5 Data from search volume research and from tracking queries in AI answers (e.g. ChatGPT, Claude, Gemini) is indicative and comes from external sources; the Provider does not guarantee its accuracy or completeness.
8.6 The software, design, the AuthorityHub brand and all know-how of the Service are the property of the Provider. The Customer obtains only a non-exclusive, non-transferable right to use the Service for the term of the contract.
8.7 The Provider may use anonymised and aggregated data on the use of the Service (excluding the content of Inputs and Outputs) to improve the Service.
9. Connecting Social Networks and Publishing
9.1 The Customer may connect Connected Services (e.g. LinkedIn, Facebook, Instagram, X, YouTube, email tools) to the Service through their authorisation interfaces. The Provider neither knows nor stores the passwords to Connected Services.
9.2 The Service publishes content solely on a User’s instruction, i.e. after the User approves it and sends or schedules the publication. The Customer is responsible for the content, timing and destination of each publication.
9.3 The use of Connected Services is governed by the terms of their operators. The Provider is not liable for their availability, changes to their interfaces, the restriction or blocking of the Customer’s account, or the failure to publish content for reasons on their side.
9.4 The Customer may disconnect a Connected Service at any time in the application or in the settings of the network concerned. Disconnection ends the Service’s access to that account.
9.5 Google Business Profile: If you connect your Google Business Profile, we obtain, through the Google Business Profile API, access to the list of your business profiles and locations and permission to publish and manage posts (updates, events, offers) on your instruction. We use this data solely to display the profiles for you to choose from and to publish content that you approve. The use and transfer of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements. You can revoke access at any time by disconnecting the profile in the application or at myaccount.google.com/permissions.
10. Availability, Support and Changes to the Service
10.1 The Provider will make reasonable efforts to keep the Service available without interruption, but does not guarantee any specific level of availability (SLA). Planned outages will be announced in advance where possible.
10.2 The Service relies on third-party infrastructure and AI models. Their outage, restriction or change may temporarily affect the functions of the Service and does not give rise to any entitlement to a discount.
10.3 Support is provided by email on business days from 8:00 to 18:00. The Agency Plan includes priority support with a guaranteed response time of two hours (during business hours).
10.4 The Provider may develop the Service, change its features and replace the AI models used. If a change would materially limit the features of a paid Plan, the Provider will notify the Customer in advance and the Customer may cancel the Subscription and receive a refund of the pro rata portion of the price for the unused period.
11. Liability and Its Limitation
11.1 The Service is provided in the scope and form in which it is currently available. The Provider does not warrant that the Service or the Outputs will meet the Customer’s specific business expectations (e.g. reach, conversions, search rankings).
11.2 The Provider is not liable for loss of profit, loss of business opportunities, damage to reputation or any other indirect damage, nor for damage caused by the content of Inputs, published Outputs, Connected Services or force majeure.
11.3 The Provider’s total liability for damage arising from one or more events is limited to the amount actually paid by the Customer to the Provider for the Service in the 12 months preceding the occurrence of the damage.
11.4 The limitations under this Article do not apply to damage caused intentionally or through gross negligence, or to harm to a person’s natural rights (Section 2898 of the Civil Code).
11.5 The Customer shall regularly back up important Outputs and materials outside the Service.
11.6 The Customer shall notify the Provider of any defects in the Service by email without undue delay. The Provider will remedy the defect within a reasonable period; if it cannot be remedied, the Provider will grant a reasonable discount on the price for the period concerned.
12. Personal Data and Data Processing Clause
12.1 The Provider processes the personal data of the Customer and Users (account, billing, login) as a controller in accordance with the Privacy Policy.
12.2 Where Inputs contain personal data of third parties (e.g. names, quotations, photographs), the Customer is the controller and the Provider processes such data as a processor under Article 28 GDPR. This Article constitutes a data processing agreement between the parties.
12.3 As a processor, the Provider:
- processes personal data only on the Customer’s documented instructions, which consist of the use of the Service, and only for the term of the contract;
- ensures the confidentiality of the persons working with the data and implements appropriate technical and organisational measures (encrypted access, separation of customer data, access rights management);
- engages further processors (cloud infrastructure, databases, AI providers, email services). The Customer grants general authorisation for their engagement; the Provider will provide a list of them on request and will inform the Customer of any changes;
- transfers data outside the EU only where the conditions of Chapter V GDPR are met (e.g. standard contractual clauses);
- assists the Customer in handling the rights of data subjects and in complying with its obligations under Articles 32 to 36 GDPR;
- notifies the Customer of any personal data breach without undue delay and no later than 48 hours after becoming aware of it;
- deletes the data after termination of the contract in accordance with Article 6.7, unless the law provides otherwise;
- makes available the information necessary to demonstrate compliance and allows reasonable audits at the Customer’s expense.
12.4 The Customer is responsible for having a legal basis for processing the personal data contained in the Inputs and for having properly informed the data subjects.
13. Changes to the Terms
13.1 The Provider may reasonably amend these Terms, in particular due to the development of the Service or changes in legislation or in the terms of Connected Services and AI providers (Section 1752 of the Civil Code).
13.2 The Provider will notify the Customer of any change by email or in the application at least 30 days before it takes effect. If the Customer does not agree with the change, it may terminate the contract as of the date on which the change takes effect; the Provider will refund the pro rata portion of the prepaid price for the unused period.
13.3 If the Customer does not terminate the contract before the change takes effect, the Customer shall be deemed to have accepted the change.
13.4 Changes that are not to the Customer’s detriment (e.g. new features, clarifications of wording) may take effect on the date of publication.
14. Final Provisions
14.1 The contract and these Terms are governed by the laws of the Czech Republic, including for Customers with their registered office abroad (e.g. in Slovakia). The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.
14.2 The parties will first seek to resolve any disputes amicably. If this fails, the court of general jurisdiction having local jurisdiction according to the Provider’s registered office shall have jurisdiction.
14.3 The Customer may not assign its rights and obligations under the contract to a third party without the Provider’s consent. The Provider may assign the contract to a successor as part of a transfer of the Service or of the business; the Customer consents to this in advance.
14.4 The parties have agreed that Section 557 of the Civil Code (interpretation of ambiguous terms to the detriment of the party that used them) shall not apply to their relationship and that the Customer assumes the risk of a change in circumstances under Section 1765 of the Civil Code.
14.5 Communication takes place electronically via the email addresses stated in the Account and in Article 1. If any provision of these Terms is invalid, the remaining provisions shall not be affected.
14.6 These Terms take effect on 25 October 2026.
